Praxi is offered on a subscription basis. Current pricing is available at praxi.au/pricing or within the Platform. Prices are subject to change with 30 days' notice.
8.2 Billing
Subscription fees are charged in advance on the first day of each billing cycle. Payment is processed via credit or debit card through our payment provider. All prices are in Australian Dollars (AUD) and exclude GST; 10% GST is added at checkout for Australian customers.

9.1 Termination by You
You may cancel your subscription at any time through your account settings. Upon cancellation:

10.4 ACL guarantees applicable to small-business customers
To the extent that you are a "consumer" as defined in section 3 of the Australian Consumer Law, the ACL provides guarantees that cannot be excluded. If we breach a non-excludable guarantee, our liability is, at our option and to the extent permitted by section 64A of the ACL, limited to: (a) re-supplying the affected services; or (b) refunding the fees paid for the deficient period.
10.5 Platform warranty disclaimer
Subject to clauses 10.2 and 10.4, the Platform is provided "as is" without warranties of any kind, and we do not guarantee uninterrupted or error-free operation.

18. General Provisions
18.1 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions will continue in full force and effect.
18.2 Entire Agreement
These Terms, together with our Privacy Policy and any order forms or service agreements you have entered into with us, constitute the entire agreement between you and Praxi regarding the Platform. These Terms supersede all prior or contemporaneous communications, proposals, and representations, whether oral or written.
18.3 Waiver
No failure or delay by Praxi in exercising any right, power, or remedy under these Terms will operate as a waiver of that right, power, or remedy. A waiver is only effective if it is in writing and signed by Praxi. A waiver of any right on one occasion does not constitute a waiver of that right on any subsequent occasion.
18.4 Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Praxi may assign these Terms (including any rights and obligations) to any affiliate or in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of our assets, without requiring your consent.

18.7 Third-Party Rights
These Terms do not confer any rights on any third party, except that Praxi's affiliates and licensors may enforce the provisions of these Terms that relate to their rights.
